Achieving excellence: The blueprint for high-performing boards

Ask 10 boards what “effectiveness” means and you’ll get 10 different answers – most of them vague or borrowed from a code or a framework rather than chosen deliberately. That is the problem.

Purpose is the legal frame – what your organization exists to do. Effectiveness is something else: it’s what the chair and CEO set out to deliver through the board, and whether the board actually did it.

High-performing boards define that for themselves, hold themselves accountable to it, and get the tactical foundations right so they can take on the strategic challenges that matter most.

Section 1: Defining effectiveness: what does “good” look like for your board?

The opening section sets up the central claim of the webinar – that effectiveness has to be defined in context before it can be measured or improved.

Purpose vs effectiveness: The distinction most boards never quite make. Purpose is the legal frame (shareholder primacy under Delaware law, the s.172 duty under the UK Companies Act). Effectiveness is what the chair and CEO set out to deliver through the board, and whether the board actually did it.
Why effectiveness must be defined in your specific context: A FTSE 100 board, a US listed mid-cap, a PE-backed private company, and a regulated bank all have different versions of “good,” and the work is choosing which one applies to you.
The Chair-CEO conversation that defines what the board is for: The relationship in which this definition gets set or quietly avoided. What happens when chairs and CEOs are aligned on it, and what happens when they’re not.

Section 2: The accountability test: is your board doing what it said it would?

The second section moves from definition to measurement, focusing on the board’s own record of decisions and follow-through.

Why financial metrics are the wrong yardstick: Share price, TSR, and similar are too downstream and too contaminated by external factors to tell you whether the board itself is performing.
